Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the services provided by Talenza Solutions LLC, a Florida limited liability company ("Talenza," "we," "us," or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Services

Talenza provides international staffing and virtual assistant placement services, including sourcing, matching, and facilitating engagement between clients and independent contractors ("Virtual Assistants" or "VAs").

Talenza does not guarantee outcomes, performance, revenue, productivity, or results.

Relationship of the Parties

• Virtual Assistants are independent contractors, not employees of Talenza or the Client
• Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, or agency relationship
• Client is solely responsible for task direction, supervision, and day-to-day management

Client Responsibilities

Client agrees to:

• Provide accurate role descriptions and expectations
• Use VAs lawfully and ethically
• Maintain secure handling of credentials and data
• Comply with all applicable laws

Fees & Payment

• Fees are billed according to the agreed pricing model
• Payments are non-refundable, except as expressly stated in writing
• Late payments may result in service suspension

Refund & Cancellation Policy

• All fees are non-refundable once services begin
• Replacement of a VA may be offered at Talenza's discretion
• Cancellation requires written notice
• No refunds for unused time or early termination

No Guarantees

Talenza makes no warranties, express or implied, including fitness for a particular purpose or merchantability.

Confidentiality

Each party agrees to maintain confidentiality of proprietary and sensitive information.

Intellectual Property

All work product created by a VA for Client shall be owned by Client. Talenza disclaims ownership of Client IP.

Non-Solicitation / Anti-Circumvention

Client agrees not to directly or indirectly hire, solicit, or engage any VA introduced by Talenza outside of Talenza for 24 months after termination.

Violation may result in liquidated damages equal to 12 months of fees.

Limitation of Liability

To the fullest extent permitted by law, Talenza's liability shall not exceed the fees paid by Client in the 30 days preceding the claim.

Indemnification

Client agrees to indemnify and hold harmless Talenza from any claims arising from Client's use of services.

Arbitration & Governing Law

• Mandatory binding arbitration in Florida
• Governing law: State of Florida
• No class actions permitted

Termination

Either party may terminate with written notice per the agreed engagement terms.

Amendments

Talenza may update these Terms at any time. Continued use of services constitutes acceptance of updated terms.
